Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the MindAI website and cloud applications (the “Service”) operated by MINDAI WEB DEVELOPMENT SERVICES (“MindAI”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you are authorized to bind that company.

MindAI provides an all-in-one, subscription-based business platform that may include inventory, sales, point of sale, accounting, purchasing, HR and payroll, document management, and queueing modules. We may add, change, or discontinue features from time to time to improve the Service.

You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

New company accounts may be subject to review and approval before activation. You are responsible for your users and for ensuring they comply with these Terms.

We may offer a free trial for a limited period. After the trial, continued use requires a paid subscription to a plan. Subscription fees, inclusions, and user/branch limits are set out in your plan or a separate Service Agreement or quotation.

• Fees are billed in Philippine Peso (PHP) unless otherwise agreed.
• Subscriptions renew for successive terms unless cancelled before the renewal date.
• Fees are non-refundable except where required by law or expressly stated in a Service Agreement.
• Non-payment may result in suspension after any applicable grace period; access is restored upon settlement.

You agree not to:

• use the Service for unlawful purposes or in violation of any applicable law;
• upload malware or attempt to disrupt, probe, or gain unauthorized access to the Service or other tenants’ data;
• reverse engineer, resell, or sublicense the Service except as permitted; or
• use the Service to store or transmit content that infringes third-party rights.

You retain all rights to the data you and your users submit to the Service (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service.

Our handling of personal information is described in our Privacy Policy. Where you input personal data of others (e.g., employees), you are responsible for having a lawful basis to do so.

The Service, including its software, design, and trademarks, is owned by MindAI and its licensors and is protected by law. These Terms do not grant you any right to our intellectual property except the limited right to use the Service in accordance with your subscription.

We aim to keep the Service available and reliable, but it is provided on an “as available” basis. We may perform maintenance and will endeavor to minimize disruption. Specific service-level commitments, if any, are set out in a separate Service Agreement.

Except as expressly stated, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

To the maximum extent permitted by law, MindAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the claim.

You may cancel your subscription at any time; access continues until the end of the paid term. We may suspend or terminate access for breach of these Terms or non-payment. Upon termination, you may request an export of your Customer Data within a reasonable wind-down period, after which it may be deleted as described in our Privacy Policy.

We may update these Terms from time to time. Material changes will be posted on this page with an updated date and, where appropriate, communicated to you. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Makati City, Philippines, without prejudice to any mandatory venue provided by law.
